By accessing or using IntegrityX's services for financial fraud prevention, discovery, and recovery using AI ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

IntegrityX provides AI-powered fraud detection, prevention, and recovery services for businesses. Our platform analyzes financial data to identify anomalies, detect fraudulent activities, and assist in the recovery of misappropriated funds.

3. Account Registration

To use our Services, you must:

• Register for an account and provide accurate, complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Be at least 18 years old and have the authority to bind your organization

4. Subscription and Payment

4.1 Fees

You agree to pay all fees associated with your selected subscription plan. Fees are billed in accordance with your subscription terms and are non-refundable except as expressly stated in these Terms.

4.2 Gain-Share Model

For recovery services, fees may be calculated as a percentage of recovered funds as specified in your service agreement. Specific terms will be outlined in your individual contract.

5. Data and Privacy

Your use of our Services is also governed by our Privacy Policy. By using our Services, you:

• Grant us the right to process your data as necessary to provide the Services
• Represent that you have the authority to share the data you provide
• Acknowledge that we may use aggregated, anonymized data for service improvement

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Share your account credentials with unauthorized parties
• Use the Services to process data you do not have the right to use

7. Intellectual Property

All intellectual property rights in the Services, including software, algorithms, models, documentation, and trademarks, are owned by IntegrityX. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the relationship. This obligation survives termination of these Terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL DETECT ALL FRAUD OR THAT ALL RECOVERIES WILL BE SUCCESSFUL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTEGRITYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless IntegrityX and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate these Terms upon written notice. Upon termination, your access to the Services will cease, and you must discontinue use of any IntegrityX materials. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

14. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
